8. Limitation of Liability

You agree to defend, indemnify, and hold harmless TextGov and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  • Your violation of any term of these Terms of Service
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right

10. Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Carroll County, Georgia.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Severability

If any provision of these Terms of Service is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms of Service constitute the entire agreement between you and TextGov regarding our services and supersede and replace any prior agreements we might have had between us regarding the services.
